Loeb Guides Taco Group Holdings in $1.4 Billion Acquisition by Pentair

Loeb & Loeb represented Taco Group Holdings, a market leader in hydronic and water-based solutions for the HVAC, plumbing and industrial sectors, in its definitive agreement with Pentair plc, a global leader in water technology and management solutions, to be acquired by Pentair for approximately $1.4 billion.
 
The Loeb team provided comprehensive legal representation to Taco throughout all phases of the sale process. This engagement encompassed preparation for the sale, the drafting, review and negotiation of the definitive purchase agreement and all ancillary transaction documents, addressing regulatory considerations, and providing strategic counsel to Taco's management and board of directors in connection with the evaluation and execution of the transaction. The Loeb team worked closely with Taco's investment bankers at Goldman Sachs regarding deal structure and terms, valuation matters and the overall transaction timeline, as well as with Taco's tax advisors at Doeren Mayhew to structure the transaction in a tax-efficient manner.
 
In advance of the transaction, the Loeb team advised on and facilitated a restructuring pursuant to which Taco's relevant insurance policies and legacy asbestos-related liabilities were separated from the operating business through a statutory division and sold to an independent third-party purchaser.

The acquisition reflects Taco’s established leadership in water-management solutions and the strength of its portfolio of pumps, valves, controls and hydronic systems serving commercial, industrial and residential markets. By joining forces with Pentair, Taco is positioned to expand its reach, enhance its capabilities and unlock new opportunities across high-growth end-markets in North America. The companies will collaborate to accelerate innovation, deepen customer relationships and deliver a broader suite of solutions, supporting long-term growth and expanding access to durable aftermarket opportunities. 

Upon completion of the transaction, Taco is expected to continue operating under the Taco brand within Pentair’s Water Solutions segment, maintaining the trusted identity and market presence that have long defined the business. The transaction is expected to close in the fourth quarter of 2026, subject to customary regulatory approvals and other closing conditions.
