Matt Friedman advises sources of private capital—including private equity funds, independent sponsors, family offices and high net worth individuals—as well as closely held companies in all aspects of middle-market transactions. Known for his practical, business-driven counsel, Matt consistently steers deals to efficient, successful closings, tailoring his approach to each client’s priorities and objectives.  

Clients value Matt’s big-picture perspective, responsiveness and ability to develop creative, actionable strategies as he guides them through structuring and negotiating acquisitions, divestitures, recapitalizations, mergers, minority investments, financings, joint ventures and a broad range of commercial arrangements. His deal experience spans a variety of sectors, including consumer products, manufacturing, financial services, health and wellness, food and beverage, and technology.

Drawing on nearly two decades of experience, Matt supports clients throughout the transaction lifecycle, from initial structuring and negotiation through closing and post-closing integration. He also serves as outside counsel to founder-led and closely held businesses, advising on corporate governance, commercial contracts, partnership arrangements, owner buyouts and succession planning, and brings a nuanced understanding of both the financial and personal considerations involved.
