Overview

Henry Brownstein maintains a diverse litigation practice with a focus on complex civil and commercial litigation in federal and state courts nationwide.

He has extensive experience advising hedge funds, private equity firms, financial institutions, individuals and government agencies on disputes involving financial products, financing, securities, corporate governance and tax shelters. Henry’s practice also includes counseling investment funds on potential litigation and other issues related to their investments, particularly in securitizations and securities.

Select examples of Henry's prior firm experience include:

  • Represented Pilgrim’s Pride in defense of a putative antitrust class action in the U.S. District Court, Eastern District of Oklahoma, in which plaintiffs allege that a group of chicken companies engaged in anticompetitive conduct that enabled them to pay growers of broiler chickens less than the competitive level.
  • Represented SL Green Realty, New York City’s largest owner of office real estate, in winning a $185 million arbitration award against HNA Group (International) Company Limited, part of Chinese conglomerate HNA Group, relating to SL Green’s $148 million equity investment in 245 Park Avenue, a marquee office tower in New York City.  Henry secured a precedent-setting victory in the Second Circuit.
  • Represented Noteholders in multi-billion dollar National Collegiate Student Loan Trusts (“NCSLTs”) in nationwide litigations concerning the administration and control of the Trusts.   Henry was part of a team that achieved a series of precedent-setting wins.
  • Represented The Federal Housing Finance Agency (“FHFA”), as conservator for Fannie Mae and Freddie Mac, in actions in federal court against financial institutions arising out of misrepresentations concerning residential mortgage-backed securities sold to Fannie Mae and Freddie Mac.
  • Represented UniCredit, a leading European bank, in defending class and individual actions in multiple jurisdictions throughout the country in connection with tax shelter transactions.
  • Represented a lender in a dispute with The Royal Bank of Scotland relating to Liverpool Football Club, which was sold to a group led by the owner of the Boston Red Sox.
  • Represented a national developer obtaining summary judgment against The Sapir Organization, a New York real estate firm, relating to its failure to close a $20 million transaction to purchase property in Las Vegas.
  • Represented an affiliate of Fortress Investment Group in a lawsuit, filed in New York federal court, against an affiliate of AIG, seeking to enforce an agreement pursuant to which Fortress had agreed to purchase in excess of $100 million of real estate investments from the AIG affiliate.  The case settled after a successful motion to dismiss. 
  • Represented Comcast Corporation in three antitrust class actions brought by a putative class of two million subscribers in each case.  These were test cases for the entire cable industry.
