Overview
Peter Sass advises clients on a wide range of tax matters, including domestic and cross-border mergers and acquisitions, dispositions, reorganizations and joint ventures. He counsels private equity and hedge funds, family offices, high net worth individuals, and public and private companies on the federal and international tax considerations arising from complex business transactions.
Peter’s experience includes developing and implementing tax-efficient structures for inbound and outbound investments, financings and restructurings. He also drafts and negotiates the tax provisions of partnership, LLC and joint venture agreements, and provides guidance on fund formations, debt workouts, equity compensation arrangements, and other partnership and corporate tax planning matters.
Peter’s practice also focuses on advising clients on the tax aspects of a variety of corporate and capital markets matters, including SPAC and de-SPAC transactions, PIPEs and other private placements, and IPOs.
