Loeb Represents X3 Acquisition Corp. Ltd., in $225 Million Initial Public Offering

Loeb & Loeb represented X3 Acquisition Corp. Ltd., a special purpose acquisition company, in connection with its $225 million initial public offering.

The offering consisted of 20,000,000 units at an offering price of $10.00 per unit, generating gross proceeds of $200 million. The offering closed on Jan. 22, 2026. In addition, on Jan. 26, 2026, the company raised an additional $25 million through the partial exercise of the underwriters’ over-allotment option, bringing total gross proceeds to $225 million.

Each unit consists of one Class A ordinary share and one-half of one redeemable warrant. The units began trading on The Nasdaq Stock Market LLC on Jan. 21 under the ticker symbol “XCBEU.” Once the securities comprising the units begin separate trading, the Class A ordinary shares and warrants are expected to trade on Nasdaq under the symbols “XCBE” and “XCBEW,” respectively.
