Jane Tam is a seasoned transactional lawyer, with her practice focused on securities offerings in the capital markets. She advises and counsels on transactional and securities compliance and disclosure matters relating to the Securities Act of 1933 and the Securities Exchange Act of 1934, including SPAC IPOs, business combination registration statements, merger proxy statements, exchange offers, shelf takedowns, PIPEs, and other private placements, periodic and current reports. She also regularly liaises with stock exchanges on securities and listing compliance issues, and counsels clients on commercial contract and corporate governance matters.
Prior to joining the firm, Jane was a partner at two large international law firms. Representing companies in diverse industries such as plant-based food and beverages, health care, technology, e-commerce, telecommunication, media, retail and transportation, Jane has helped her corporate clients raise in the aggregate more than $3 billion from the sale of equity and debt securities over the past two decades. Jane began her legal career at the Division of Corporation Finance at the SEC.
In addition to her transactional practice, Jane also has experience in commercial litigation and arbitration. Immediately prior to joining Loeb, she served as the chairperson of a three-member panel at a number of FINRA arbitrations.
