Jane K. P. Tam, Esq. is a seasoned corporate and securities transactional lawyer, with her practice focused on securities offerings and cross-border transactions involving China and other Asian countries. She advises and counsels on transactional and securities compliance and disclosure matters relating to the Securities Act of 1933 and the Securities Exchange Act of 1934, including initial public offerings, follow-on offerings, ATM offerings, registered direct offerings, business combination registration statements, exchange offers, shelf takedowns, private-investment-public-equity (PIPE) transactions and private placements. Jane also counsels publicly held companies on corporate governance and regularly liaises with stock exchanges on securities and listing compliance issues.

In addition to her transactional practice, Jane also has extensive experience in commercial litigation and arbitration. For more than ten years, Jane was a FINRA arbitrator. Immediately prior to joining Loeb, she served as the chairperson of a three-member panel at a number of FINRA arbitrations. Jane began her legal career at the Division of Corporation Finance at the SEC.
