Overview

Jane K. P. Tam, Esq. is a seasoned corporate and securities transactional lawyer, with her practice focused on securities offerings and cross-border transactions involving Singapore, China and other Asian countries. She advises and counsels on transactional and securities compliance and disclosure matters relating to the Securities Act of 1933 and the Securities Exchange Act of 1934, including initial public offerings, follow-on offerings, at-the-market (ATM) offerings, registered direct offerings, business combination registration statements, exchange offers, shelf takedowns, private-investment-public-equity (PIPE) transactions and private placements. Prior to joining Loeb, Jane was a partner at two large international law firms. She brings a distinct and international perspective from her work in the Division of Corporation Finance at both the U.S. Securities and Exchange Commission and the Hong Kong Securities and Futures Commission.

Born and raised in Hong Kong, Jane is bilingual and has deep understanding of the Asian culture and way of doing business. Having helped companies in a wide array of industries in the U.S., Singapore, the Philippines, China, Taiwan and Hong Kong raise more than $5 billion over the past three decades, Jane continues to work on high-profile, complex transactions. In 2025, Jane closed the landmark business combination transaction that resulted in the first Filipino-owned company, valued at $2.3 billion at closing, to be listed and traded on the Nasdaq Stock Market. In that same year, Jane represented a Singapore-based game and entertainment company valued at $1.2 billion in a business combination transaction that successfully led to its listing on the Nasdaq Global Select Market. In 2022, Jane closed a business combination for a special purpose acquisition company (SPAC) 42 months after its IPO with a Hong Kong-based company, setting a record as the longest-listed SPAC to close a business combination.  

In addition to her transactional practice, Jane has extensive experience in commercial litigation and arbitration, having served as a FINRA arbitrator for more than a decade.  Immediately prior to joining Loeb, she served as the chairperson of a three-member panel at a number of FINRA arbitrations.
