Overview

Fran Stoller leads a targeted practice across a wide range of corporate and securities matters, concentrating in biotechnology, pharmaceuticals and technology. Clients describe Fran as a hands-on, no-nonsense partner who takes a deep and personal interest in their business. 

Fran is passionate about advising clients in the life sciences industry through the long trajectory of product development. She assists companies in negotiating sponsored research and clinical trial agreements; research and development collaborations; in-licensing agreements with academic and research institutions; out-licensing transactions relating to product manufacturing, launch and commercialization; and various royalty monetization structures.

Fran counsels both public and private companies, advising senior management and boards of directors on corporate and financing transactions, securities law compliance, shareholder relations, employment matters, and corporate governance. She assists publicly traded companies with all aspects of compliance with the Securities Acts of 1933 and 1934 and stock exchange requirements, and has acted as counsel to special committees on mergers and acquisitions and internal investigations. Additionally, Fran has experience representing issuers, placement agents, underwriters and venture capital investors in connection with IPOs and secondary public offerings, private placements of debt and equity securities, PIPES, ATMs and registered directs.
