Loeb Represents Underwriters in Freedom Metals Acquisition Corp.'s $275 Million Initial Public Offering

Loeb & Loeb represented Cohen & Company Capital Markets, a division of Cohen & Company Securities, LLC, and Clear Street LLC as co-managing underwriters in connection with the $275 million initial public offering of Freedom Metals Acquisition Corp., a special purpose acquisition company focused primarily on pursuing a business combination in the mining and critical minerals industry. 

The offering consisted of 27,500,000 units priced at $10.00 per unit, generating gross proceeds of $275 million [before deducting underwriting discounts and commissions and other offering expenses]. Each unit consisted of one Class A ordinary share and one-third of one redeemable warrant, with each whole warrant entitling the holder to purchase one Class A ordinary share at an exercise price of $11.50 per share.

The units began trading on the Nasdaq Global Market on July 8, 2026, under the ticker symbol “FDMMU” and closed on July 9. Once the securities comprising the units begin separate trading, the Class A ordinary shares and warrants are expected to trade on Nasdaq under the symbols “FDMM” and “FDMMW,” respectively.   

Freedom Metals Acquisition Corp. also granted the underwriters a 45-day option to purchase up to 4,125,000 additional units at the initial public offering price to cover any over-allotments.
