Giovanni Caruso, co-chair of Loeb & Loeb’s SPACs practice, appeared on the Aon webinar “Navigating the Path to Public: Listing Options, Regulatory Challenges, and Insurance Essentials.” The program brought together industry leaders to discuss the current IPO and de-SPAC landscape, regulatory developments and the tools companies need to prepare for the challenges of going public.
In the webinar, Giovanni spoke about the growing impact of artificial intelligence (AI) on capital markets and corporate governance.
“I’m seeing a lot of conversations—at the board level—dealing with AI,” Giovanni noted. “I’m seeing a lot of hiring internally to deal with some of these issues that are coming up.”
He added, “It’s good to get consultants who really know about these [AI] issues to come in and help companies set up their internal practices in the best way to deal with these issues. Especially for critical roles like internal control over financial reporting—you want to make sure that whatever you’re doing in the AI space is not impacting your ability to report properly, and that’s where consultants who are specifically geared toward this area can be of help.”
Giovanni also emphasized the importance of financial reporting as a foundation for success.
“If your financial statements are not accurate, in my mind, that is the easiest way to get sued if you have to do a restatement,” Giovanni said. “The first thing the company should be doing is focusing on its internal accounting function, make sure its CFO/controller works well with auditors and make sure you’re comfortable with your auditors.”
