The issue at dispute is whether Delaware has the legal right to examine a Delaware-incorporated company, incorporated in Delaware, regarding its compliance with Delaware’s unclaimed property law. Marathon filed suit, asserting that Delaware’s right to audit its gift card practices was precluded by federal law. Loeb filed a motion to dismiss, asserting that Marathon’s suit was premature. The motion was granted, and the case is currently on appeal to the United States Court of Appeals for the Third Circuit.
