Overview

Rima Moawad focuses her practice on the representation of private equity firms, family offices, management groups and operating companies in domestic and cross-border mergers and acquisitions, restructurings, corporate governance, succession planning, partnerships, strategic joint ventures and other corporate transactions. She also serves as outside general counsel for a number of her clients, including both non-U.S. family offices and U.S.-based clients. 

Rima is also active in a number of nonprofit organizations, including the Lebanese International Finance Executives (LIFE), where she served as a board member; Social and Economic Action for Lebanon (SEAL), where she also serves as a board member; as well as the Mata Amritanandamayi Math, one of India's largest non-governmental organizations.

  • Represented Daher Capital, a Beirut-based family office, in a number of fintech and tech investments, including the take-control of Kyriba by Bridgepoint Capital and the growth investment round in Kiryba, in a transaction valued at $1.2 billion, where they were the principal shareholder, as well as in its reinvestment in Kyriba alongside Bridgepoint and General Atlantic.
  • Represented Rho Acceleration, a division of Rho Capital, in its growth equity investments in Skyword, a digital marketing company, and Passport, a leading mobility management platform. 
  • Represented Health Catalyst Capital in several capital investments in the healthcare IT space.
  • Represented BetterDoctor, a healthcare IT company, in its sale to Quest Analytics, a portfolio company of Vestar Capital.
  • Represented a European-based family office in its U.S. investments, including its financial sponsorship of a $95 Million luxury condominium development in Manhattan.
  • Represented Dan Klores Communications LLC, a premier public relations and communications firm, in the sale of a majority stake to Acceleration Communities of Companies (ACC), a network of media, marketing and communications agencies.
  • Represented Ken Sunshine in the capital restructuring of Sunshine Sachs, a full-service communications consulting firm.
  • Represented HODL Venture in connection with the establishment of MoonPay.
  • Represents VitaNav, a ketone beverage company, in its preferred equity financings and general corporate matters.
  • Represented Archimedes Tech SPAC Partners in its business combination transaction with SoundHound, a voice AI platform. 
  • Represented Airship AI Holdings, an AI-driven video, sensor and data management surveillance platform, in its business combination with BYTE Acquisition Corp.
  • Represents Terra Innovatum S.R.L., a micro-modular nuclear technology company, in its proposed business combination with GRS III Acquisition Corp.

Select examples of Rima’s prior experience include:

  • Representation of Neuberger Berman in connection with its management buyout from Lehman Brothers; the repurchase of the balance of Lehman's equity stake in Neuberger for approximately $1.5 billion; and various private placements of equity securities.
  • Representation of Grifols S.A. in connection with its acquisition of a 35 percent equity stake in Aradigm Corporation (Nasdaq: ARDM) and its $4 billion leveraged buyout of Talecris Biotherapeutics, Inc. (Nasdaq: TLCR).
  • Representation of Bed Bath & Beyond in its $580 million acquisition of Cost Plus, Inc. (Nasdaq: CPWM).
  • Representation of the founder and controlling stockholder of Affiliated Computer Systems in connection with the company’s $6.4 billion merger with Xerox Corporation.
  • Representation of Merrill Lynch Global Private Equity in more than 20 transactions, including the $33 billion leveraged buyout of HCA.
