Overview
Hannah Kautz maintains a broad-based nonprofit and tax-exempt organizations practice, advising clients across the full life cycle of nonprofit organizations, from formation and applications for tax-exempt status to grant-making, corporate governance and dissolution. Her practice encompasses handling a wide range of governance, compliance and other strategic matters, including counseling on tax-exempt requirements, charitable programs, board responsibilities and organizational best practices. In addition, she works closely with philanthropists, families and businesses to structure and advance charitable and social impact initiatives aligned with their long-term objectives.
Prior to joining the firm, Hannah served as a lawyer in the Tax Exempt & Government Entities Division Counsel of the Office of Chief Counsel at the Internal Revenue Service (IRS), where she advised on federal tax law issues affecting tax-exempt organizations. Through her work on exemption determinations, rulings and examinations, she developed a nuanced understanding of how the IRS evaluates exemption, governance and operational compliance issues. She also litigated Tax Court cases involving tax-exempt organizations, deepening her understanding of how complex tax controversies are assessed and resolved. Drawing on this experience, Hannah helps nonprofit organizations navigate regulatory complexity, assess compliance risks and address tax-exempt issues through an informed understanding of IRS priorities and decision-making.
