LLCs offer limited liability for their owners—like a corporation—with the tax treatment of a partnership, in addition to the freedom to structure management rights and financial interests in virtually any configuration the parties wish. They are ideal for small businesses and can be used for operating entities, real estate investments, joint ventures, and investments that have foreign participants. However, LLCs also have limitations and disadvantages. CEB panelists will discuss the advantages and disadvantages of LLCs and provide an introduction to LLC tax laws. Practical issues such as preparing operating agreements and the use of LLCs in business transactions will also be covered.
