Loeb Represents Bella + Canvas in Acquisition by SanMar Corporation

Loeb & Loeb represented Bella + Canvas, a premium blank apparel brand, in its sale of certain assets to SanMar Corporation, a leading wholesale supplier of imprintable apparel, headwear and accessories.

Loeb handled all aspects of the transaction, including transaction structuring, negotiation and documentation, and related commercial and regulatory considerations.

The transaction marks an important milestone in Bella + Canvas’ evolution and positions the brand for continued growth under SanMar’s ownership. Following the closing, Bella + Canvas will continue to operate as an independent brand headquartered in Los Angeles, maintaining the creative vision, product philosophy and customer-focused approach that have made it a recognized leader in the premium blank apparel industry.

The acquisition provides Bella + Canvas with additional resources to support innovation, product development, quality and customer experience, while preserving the brand’s identity and design-led approach. In connection with the transaction, SanMar became the exclusive national wholesale distributor of Bella + Canvas products.

The Loeb team was led by Mitchell Nussbaum, co-chair of the firm, Ann Chen, deputy chair of the firm’s Capital Markets & Corporate department, and Corporate partner Matt Friedman, and included associates Ryan Kashfian, Sarah Cherfan and Camila Piedrahita Abello; Advanced Media & Technology partner Jorge Arciniega; Tax partners Michael Weinstein and Natan Leyva; Executive Compensation & Employee Benefits partner Michael Gerald; Employment & Labor partners Lauren Richards and Sarina Saluja; Robyn Mohr, deputy chair of the firm’s Privacy, Security & Data Innovations practice; Richard Lorenzo, chair of the Energy and Antitrust practices; and Litigation senior counsel Nicole Travers
