Loeb Advises FF EAI Robotics Ecosystem in $200 Million Acquisition of Faraday Future's Robotics Business

Loeb & Loeb represented FF EAI Robotics Ecosystem Inc. (FFR), a company focused on humanoid and embodied AI robotics technologies, in connection with its acquisition of Faraday Future Intelligent Electric Inc.’s robotics assets and business in an all-stock transaction, valued at approximately $200 million.

The Loeb team advised FFR's special committee throughout the transaction, including on transaction structuring, legal due diligence, negotiation and preparation of the transaction documents, and SEC disclosure and Nasdaq listing requirements.

Through the acquisition, FFR now operates a dedicated Nasdaq-listed platform focused on Physical AI and EAI robotics technologies.

The parties agreed to a valuation of approximately $200 million for Faraday Future's robotics business and approximately $60 million for FFR on a fully diluted basis.

The transaction was approved by the respective special committees comprising disinterested independent directors of Faraday Future and FFR, and was supported by a fairness opinion issued by an independent financial advisor engaged by FFR's special committee.

The transaction was announced on Oct. 14, 2026, and closed on Oct. 23, 2026.

The Loeb team was led by Henry Yin, chair of the firm’s Asia M&A and Technology Transactions practice, and Lawrence Venick, managing partner of the firm’s Hong Kong and Beijing offices, and included Corporate partner Victor Chen, counsel Benjamin Yao and associates Irene Zhang, Karina Zhou and Jenny Wang, and Capital Markets senior counsel Hermione Krumm and associate Yunpeng (George) Du.
