Loeb Guides Texas Mineral Resources Corp. in Acquisition by USA Rare Earth, Inc.

Loeb & Loeb represented Texas Mineral Resources Corp. (TMRC), an exploration stage mining company, in its acquisition by USA Rare Earth, Inc. (USAR), an American mining and manufacturing company specializing in the extraction, processing and production of rare-earth elements.

Under terms of the agreement, USAR will acquire all of the outstanding shares of TMRC for 3,823,328 shares of USAR common stock. The implied total deal value is approximately $73 million, based on the closing price of USAR’s common stock on March 4, 2026.
