Allan B. Duboff

Allan Duboff is a problem solver known for his efficient, hands-on approach. With a passion for advising clients undertaking new business ventures, Allan maintains a diverse corporate and business practice, helping clients overcome market-driven and regulatory challenges. 

Allan’s clients range from emerging growth companies, closely held companies and equity funds to large, well-known public companies. He advises on multimillion-dollar transactions, including mergers and acquisitions, securities and corporate finance, private equity, venture capital, joint ventures, licensing, and general business matters. Allan has significant experience across multiple industries, including media, entertainment and sports, manufacturing, high-tech, food service, consumer products, medical devices, and apparel. By partnering with each client, he gains a deep understanding of their concerns and helps them work toward desired outcomes.

Allan is a leading authority on limited liability companies (LLCs). As a member of the California State Bar Drafting Subcommittee, he was instrumental in the creation of the state’s Limited Liability Company Act. Additionally, Allan has led negotiations on behalf of RTL Group in the multimillion-dollar acquisitions of SpotX and StyleHaul, and on behalf of OSI Systems in the acquisition of a global explosive trace detection system. He has also represented various cable networks, venture capital and private equity funds, and sports teams such as the Sacramento Kings (NBA) and the Vegas Golden Knights (NHL). 

Allan is very involved in bar activity across California, having served as chair of the Business and Corporations Section of the Los Angeles County Bar Association and on the Executive Committee of the Business Law Section of the California Bar Association, and he is a frequent guest speaker and moderator at continuing legal education seminars sponsored by various bar associations. A Los Angeles native, Allan is an avid LA Dodgers and UCLA Bruins fan.
