Loeb Represents Gannon University in Merger with Ursuline College

Loeb & Loeb represented Gannon University, a Catholic university located in Erie, Pennsylvania, in its definitive agreement to combine with Ursuline College, a Catholic liberal arts college known for its nursing programs located in the Cleveland, Ohio, metropolitan area, marking a significant change in the higher education landscape proximate to Lake Erie. Under the two-step merger process prescribed by the U.S. Department of Education, Gannon became the sole member of Ursuline, which will continue to operate as a separate institution until the U.S. Department of Education approves the merger between the two institutions.

As part of the transition, Gannon will elect the members of Ursuline’s board of directors, several of which previously served on this board. Gannon will provide services to Ursuline with the objectives of improvements of quality and economies of scale.

Gannon intends to create a private Catholic higher education system in the area proximate to Lake Erie. Gannon also aims to expand its advanced allied health program offerings while maintaining the history and values that define Ursuline College.

“Working with Loeb & Loeb on the Ursuline College transaction was an essential element in Gannon’s toolkit,” said Jennifer Lundy, vice president of the finance and campus operations at Gannon University. “Neil Lefkowitz brought to us a depth of experience in the higher education merger and acquisition space that was simply not present within our organization or other advisors we identified. Neil’s grasp of the legal, regulatory and accreditation landscape and his attention to their respective details ensured that we managed all critical path items necessary to complete the change in control. I appreciate the guidance and partnership that shaped a successful project.”

The Loeb team was led by Corporate partner Neil Lefkowitz and included Corporate associate Matt Bernstein; Robyn Mohr, partner and deputy chair of the firm’s Privacy, Security & Data Innovations practice; and Litigation partner Albert Cohen
