A bi-coastal, cross-practice Loeb & Loeb team represented the trustees of the charitable trusts of the late Margaret Cargill, the largest individual shareholder of Cargill, Inc., in consummating a series of landmark agreements whereby Cargill will distribute part of its 64% stake in The Mosaic Company, a large publicly held fertilizer company, to the trusts in exchange for their Cargill stock. Over time, the trusts will sell their Mosaic stock, in order to fulfill their charitable missions. If the sales are completed as contemplated, the estimated $9 billion in proceeds (based on current valuations) will make the Cargill trusts among the largest charitable foundations in the country.
