Phoebe Yan is a seasoned litigator with approximately 15 years of experience advising multinational companies on complex disputes, investigations and regulatory risk across the Asia-Pacific region. Her clients include companies across a range of industries, including life sciences, health care, pharmaceuticals, automotive, oil and gas, finance, food and beverage, home appliances and retail, among others.

Phoebe focuses on white collar crime and internal investigations, trade compliance and export controls, data privacy and cybersecurity, government enforcement actions and dispute resolution. She regularly advises companies on risk control and risk management issues involving a broad range of evolving regulatory and enforcement trends.

Phoebe’s experience includes leading nationwide internal investigations in China involving bribery and corruption allegations, advising on complex trade law, export control, CFIUS and reverse-CFIUS matters, and providing tariff-related guidance to Chinese public companies and companies seeking to be listed overseas. She also conducts time- and culture-sensitive investigations, including workplace and sexual harassment matters involving senior executives.

The International Association of Privacy Professionals (IAPP) has certified Phoebe as an Information Privacy Professional (CIPP/US). She is also a Certified Information Security Professional for Personal Information Protection (CISP-PIP) under China’s Personal Information Protection Law (PIPL), and she is a certified EXIN Data Protection Officer for the European Union’s General Data Protection Regulation (GDPR).

Trade Compliance

  • Served as trade compliance expert for multiple Chinese A-listed companies aiming to be listed in the Hong Kong Stock Exchange (or their sponsors), covering issues such as sanctions, export control, CFIUS/reverse-CFIUS and tariff-related analysis. 
  • Served as international counsel in the public investigations of a Chinese technology company in connection with high-profile trade control and sanctions enforcement proceedings with the U.S. government from 2018 to 2021.

FCPA and Investigations

  • Represented U.S. and European pharmaceutical, medical devices, technology and consumer product companies regarding anti-corruption and anti-bribery issues before the U.S. Department of Justice and the U.S. Securities and Exchange Commission for over a decade. 
  • Conducted China-wide, cross-business internal investigations on behalf of several major multinational pharmaceutical and medical devices manufacturers.
  • Represented various U.S. and European life science companies, automotive product manufacturers, and oil and gas companies in commercial bribery and competition law investigations and dawn raids by Chinese authorities.
  • Advised multinational and Chinese companies on compliance, contract and employment issues related to whistle-blower claims, third-party business partner disputes and conflict of interest investigations.
  • Performed compliance training and M&A compliance due diligence.

Data Privacy, Cybersecurity and Artificial Intelligence

  • Performed China-focused data mapping, health check and standard documents updates (such as labor contract, informed consent and PIPIA) for two multinational investment banks.
  • Provided the state security assessment-related advice to a multinational fashion conglomerate. 
  • Advised a U.S. technology company on AI regulatory frameworks from the Sino-U.S. comparative law angle.
  • Assist multiple U.S. and European technology and life sciences companies with their cross-border data transfer (e.g., for clinical trial purposes) and local filing (e.g., for the Chinese standard contractual clauses (SCC)) strategies.  

Cross-Border Dispute Resolution

  • Handled contract disputes against business partners for U.S. and UK clients in the life sciences and technology industries before Beijing courts and arbitration tribunals.
  • Tried a recognition and enforcement of a Hong Kong arbitral award case before a Beijing court. The case was selected as one of the Top 10 model enforcement cases by the Supreme People’s Court of China in 2020. 
  • Served as international counsel to provide litigation strategy coordination and Chinese lawyer and project management services on behalf of the related party in the legal proceedings brought by the families of the Malaysia Airlines MH370 victims in the Beijing Railway Transportation Court.
  • Advised multinational companies in the life sciences, automobile, electronic devices, food, cosmetics and home appliance industries for product liability and product recall matters.
