Ivan Chaykovskiy practices in all aspects of corporate and securities law, with a focus on capital markets transactions, public and private offerings and general corporate matters. He regularly represents issuers, underwriters, placement agents, financial institutions and sponsors in a wide range of domestic and cross-border capital markets transactions, including initial public offerings, follow-on offerings, at-the-market offerings, private investments in public equity (PIPEs), as well as SPAC and de-SPAC transactions.
Ivan advises clients on federal securities law compliance, reporting and disclosure obligations, including preparing annual, quarterly, and current reports, as well as compliance with the rules of national exchanges (NASDAQ and NYSE). His experience includes advising clients on sensitive, high-stakes business issues and complex corporate governance matters. In addition, Ivan brings experience advising on mergers and acquisitions and other strategic transactions and initiatives across various industries including life sciences, technology and energy.

- Represented Fold Holdings, Inc., a publicly traded bitcoin financial services company, on securities compliance, corporate governance and transactional matters, including a $250 million equity purchase facility agreement.
- Represented ProFrac Holding Corp., an energy services company on securities compliance, corporate governance, M&A, and transactional matters, including a $270 million all-stock acquisition of U.S. Well Services.
- Represented Benson Hill, Inc., an ag-tech company, on securities compliance, corporate governance and transactional matters, including a $100 million ATM program.
- Represented Thunder Power Holdings, a Hong Kong-based premium electric vehicle manufacturer, in its $400 million deSPAC with Feutune Light Acquisition Corp.
- Represented QT Imaging, Inc., a medical device company specializing in innovative body imaging systems, in a deSPAC with GigCapital5, Inc.
