Loeb & Loeb represented D. Boral ARC Acquisition I Corp., a special purpose acquisition company, in connection with its $500 million business combination with Exascale Labs Holdings Inc., a provider of next-generation AI compute infrastructure.
The Loeb team provided comprehensive representation to D. Boral throughout the transaction, including negotiating and drafting transaction agreements, conducting due diligence and advising on strategic and regulatory considerations.
Upon completion of the transaction, the combined company was renamed “Exascale Labs Holdings Inc.” and its Class A common stock and warrants began trading on Nasdaq under the new ticker symbols “XLAB” and “XLABW,” respectively, on August 28, 2026. Each existing D. Boral unit separated into its components consisting of one share of Class A common stock under the new symbol “XLAB” and one-half of one warrant under the new symbol “XLABW” and, as a result, the D. Boral units no longer trade as a separate security.
Through the business combination, D. Boral played a key role in taking a provider of next-generation AI compute infrastructure public, positioning Exascale to expand its platform and meet rising demand for high-performance computing capacity and AI-ready infrastructure.
