Jessica Levy concentrates her practice on advising nonprofits and tax-exempt organizations, including public charities, private foundations and trade associations on corporate compliance and governance matters. Jessica has experience in guiding organizations through all phases of the startup process, from providing bylaws and other procedural documents to obtaining recognition from the IRS of federal 501(c) tax-exempt status. Her corporate governance practice includes advising existing nonprofits on grant-making, board fiduciary duties, reclassifications, excess benefit transactions, charitable solicitation and giving, fiscal sponsorship and program-related investments.

In addition, Jessica has extensive experience in assisting clients in taxation elements regarding mergers and acquisitions, capital markets, credit, real estate and international transactions. She has counselled private equity funds on tax structuring throughout the private investment fund formation process and researched and drafted tax portions of financing agreements for borrower and lender clients.

Previously, Jessica served as a codification division intern for the United Nations Office of Legal Affairs and as a volunteer professional associate for the American NGO Coalition for the International Criminal Court.
