Joan Guilfoyle is a securities lawyer with extensive experience representing public companies in connection with complex securities, corporate and regulatory matters. She regularly handles initial public offerings, SPAC offerings and business combinations, secondary stock and debt offerings and private placements, mergers and acquisitions (both buy and sell side) and advises clients on Exchange Act reporting requirements as well as ongoing national securities compliance matters. She also advises boards of directors in connection with corporate governance matters, compliance issues, proxy contests and stockholder proposals. 

Joan’s practice spans a diverse roster of clients across industries and is anchored in her longstanding representation of financial institutions, giving her a nuanced understanding of the complex pressures they face. She guides clients through intricate regulatory and transactional matters, offering strategic, commercially attuned counsel across the lifecycle of these matters. She is relied upon to deliver advice that is both technically rigorous and closely aligned with her clients’ business objectives. 

Prior to beginning the practice of law, Joan was a Vice President and Commercial Loan Officer with two Washington, DC-based financial institutions. Her experience in this role underpins a sophisticated understanding of financial institutions’ decision-making and risk tolerance, which she leverages in advising clients.

In addition to her practice, Joan has authored numerous articles published in leading publications, such as Bloomberg, regarding key securities and banking law regulations and proposed rulemakings.
