John Settineri is a hands-on, dedicated tax attorney who works across a full range of domestic and international transactions. He has a particular passion for cross-border mergers and acquisitions, initial public offerings, private placements, restructurings, and joint ventures. With the ever-changing domestic and international tax laws, John helps his clients fully understand complicated matters and provides user-friendly counsel.
John has prepared tax disclosures with respect to, and advised, numerous public companies, including special purpose acquisition companies (SPACs), both in their initial public offerings and in their subsequent acquisitions of target businesses. He has advised public companies as they transition to private companies, and enjoys working on acquisitions by public companies.
Among other transactions, John represented Harbin Electric, a public company, in a $768 million management buyout by its chairman and CEO, Tianfu Yang; Abax Global Capital; and certain Abax affiliates. Under the terms of the deal, all Harbin shareholders who were not members of the buyout group received $24 per share in cash without interest.
He provides tax advice and planning to overseas businesses in accessing U.S. capital markets and in developing their operations. Additionally, John works with domestic businesses seeking to expand their operations abroad. He assists clients with drafting and negotiating tax-related provisions in commercial loan agreements as well.
John and his family have also traveled extensively, both domestically and abroad.
