Thomas E. Rohlf has represented a wide range of general business clients, including cable television and radio stations, real estate investment trusts, insurance companies, interactive media companies, oil refineries, restaurants, hotels, ski resorts, securities broker-dealers, real estate developers, real estate brokerage companies, private foundations, motion picture production and postproduction companies, film libraries, venture capital companies, automobile dealerships, equipment manufacturers and retail merchants.
Mr. Rohlf has broad experience in mergers, acquisitions, and leveraged buyouts; private placements of debt and equity securities; venture capital financings; joint venture and partnership transactions; the formation and use of limited liability companies and general business transactions.
Mr. Rohlf also represents financial institutions in lending transactions and other related areas, including commercial and asset-based lending transactions; secured and unsecured lines of credit; single bank and syndicated loans; all ancillary issues such as stand-by letters of credit, guarantees, keep-well commitments, subordination and intercreditor arrangements; loan restructuring, workouts and other creditors’ rights issues; and California usury law issues. His experience with financial institutions includes radio, telecommunications and entertainment media loan transactions.
