Scott Giordano represents financial institutions, investors in private investments in public equity (commonly known as PIPEs), factors, leasing companies and other providers of credit in the structuring, preparation and negotiation of complex finance, PIPEs, factoring, leasing and general corporate law documentation. His experience also includes workouts, restructurings, and debtor-in-possession financings.

Mr. Giordano is a lecturer on matters of interest to asset-based lenders, factors and leasing companies as part of various educational programs.

Representative Experience

  • Represented a financial institution in connection with a $25,000,000 revolving credit and term loan convertible debt facility to Stonepath Group (AMEX: STG).  In connection with the transaction, the financial institution received warrants to purchase common stock.
  • Represented a financial institution in connection with a $5,000,000 revolving credit convertible debt facility to IWT Tesoro Corporation (OTCBB: IWTT).  In connection with the transaction, the financial institution received warrants to purchase common stock.
  • Represented a financial institution in connection with a $24,500,000 term loan convertible debt facility to New Century Energy Corp. (OTCBB: NCEY) which facilitated leveraged buyouts.  In connection with the transaction, the financial institution received warrants and options to purchase common stock.
  • Represented a financial institution in connection with a $27,900,000 revolving credit and term loan convertible debt facility to Thomas Equipment, Inc. (OTCBB: TEQI) which facilitated a leveraged buyout.  In connection with the transaction, the financial institution received warrants and options to purchase common stock.
