Sasha Badian has a multi-faceted transactional practice, spanning the mergers and acquisitions, private equity and venture capital sectors, as well as advanced media, technology and outsourcing transactions. He has represented private equity funds in leveraged buyouts and strategic investments, as well as start-up, growth-stage and established companies in business combinations, business restructurings, venture capital financings, joint ventures, strategic alliances and other day-to-day general corporate matters, including the formation of partnerships and LLCs and the negotiation and drafting of employment and consulting agreements. As part of his advanced media, technology and outsourcing practice, Mr. Badian has represented technology companies, content providers, media and entertainment companies and financial institutions in intellectual property licensing, joint venture, strategic alliance, development and implementation transactions. Several of these transactions have involved the joint development, implementation or the licensing of new and proprietary media platforms, including with respect to mobile devices and mobile applications. In addition, he has represented major financial institutions, technology developers and consumer products manufacturers in outsourcing transactions, including the outsourcing of asset management, mobile technology development and facilities management functions.
