Our representative renewable energy transactions and capabilities include:

Wind

  • Represented Morgan Stanley & Co. in wind power tax equity investments of over $1 billion in numerous wind farms across the country.
  • Represented a developer on issues related to wind power projects in Maine (<100 MW) and Utah (1000 MW), including corporate structuring, FERC approvals, negotiation of interconnection agreements and transmission issues.
  • Represented the developer of a Massachusetts wind power project on transmission issues at the Massachusetts Department of Public Utilities and FERC.
  • Represented the developer of a wind farm in upstate New York in negotiations with the transmission owner and ISO to obtain interconnection at a preferred location.
  • Negotiated and drafted power purchase agreements for wind power projects in numerous states.

Hydroelectric

  • Represented a major hydro developer in litigation at FERC regarding headwater benefits. 
  • Advised a major hydro developer regarding acquisitions, license conditions and compliance. 
  • Represented Southern California Edison in relicensing litigation at FERC regarding water rights.

Geothermal

  • Represented Morgan Stanley & Co. and Lehman Brothers, Inc. in a $71.8 million tax-equity investment in a geothermal power project sponsored by Ormat.

General

  • Negotiated and prepared purchase and sale, loan, power purchase, real estate, construction and procurement contracts.
  • Negotiated numerous interconnection agreements representing both developers and transmission owners.
  • Participated actively in the FERC rulemaking proceedings that led to the adoption of standardized interconnection procedures and agreements.
  • Advised in the structuring, tax, finance and securities aspects of investment vehicles for renewable energy, including advice on federal investment tax credits and production tax credits.
