• Representation of TPR Holdings, an investor and operator in the consumer products industry, in connection with its acquisitions of the Sweet Breath oral care brand and Trilogy Fragrances, a developer and manufacturer of natural and organic fragrances for the personal care industry.
  
• Representation of Fremantle Media, an international creator and producer of entertainment brands, in connection with its acquisition of a majority stake in @radical.media, a global transmedia business.
  
• Representation of East Rock Capital, a fund manager and investment advisor, in connection with the negotiation of complex joint venture agreements and equity and debt investments in a distressed asset fund and residential mortgage fund.
  
• Representation of White Oak Global Advisors, a fund manager and investment advisor, in connection with the preparation of a private placement/offering memorandum, the sale of limited partnership interests and the formation of a Cayman Islands master feeder fund to invest in various specialty assets including premium finance loans and life settlements.
  
• Representation of Outbrain, Inc., an online rating and content recommendation service, in connection with the private placement of Series A Preferred Stock, Series B Preferred Stock and Series C Preferred Stock to venture capital funds based in Israel and the United States, the acquisition of assets from a leading-edge web series company, implementation of an equity compensation plan and numerous commercial transactions.
  
• Representation of the owners of Wilhelmina International Inc. and related companies, one of the most prominent agencies in the fashion industry worldwide, in connection with the sale of membership interests in various limited liability companies, the merger with a publicly traded corporation and various ongoing matters.
  
• Representation of Worldwide Biggies Inc., a digital entertainment studio, in connection with the preparation of a private placement/offering memorandum, the sale of Series A Preferred Stock to venture capital funds, industry participants and private investors.
  
• Representation of Post Capital Partners, an equity sponsor group, in connection with a private placement of limited liability company interests, senior and seller financing and its acquisition of Agent Media Corporation, a publishing, database and marketing solutions provider for the life, health and annuity segments of the insurance industry.
