John Settineri’s tax practice covers a full range of domestic and international transactions, including mergers and acquisitions, initial public offerings, private placements, restructurings and joint ventures.

He has prepared tax disclosures with respect to, and advised, numerous special purpose acquisition companies (SPACs), both in their initial public offerings and in their subsequent acquisitions of target businesses, and has advised target businesses in their acquisitions by SPACs. He has also provided tax advice and planning to overseas businesses in accessing U.S. capital markets and in developing their operations in the United States, and domestic businesses seeking to expand their operations abroad.

Representative Experience

  • Represented clients in connection with an investment in a joint venture formed for the acquisition of a theater in London.
  • Represented a major Canadian telecommunications company in the formation and subsequent restructuring of its interest in multi-billion dollar satellite joint venture.
  • Represented a SPAC in developing and implementing a unique publicly traded partnership structure used in acquiring a shipping business based in Greece.
  • Represented a number of SPACs in employing an integrated re-domicile and acquisition structure used in effectuating business combinations with operating businesses located in China.
  • Represented a U.S. corporation in advising on its re-domicile to an offshore jurisdiction in order to gain access to foreign securities markets.
  • Represented a foreign hedge fund in the tax efficient structuring of its loans and other investments.
  • Represented an international real estate company in its acquisition by a SPAC in a tax-free reorganization.
