Frank J. Marinaro is a transactional attorney in the Corporate and Securities department representing U.S. and international corporations and partnerships, including investment and commercial banks, private equity funds and growth companies, with a practice concentrating on mergers and acquisitions, private equity fund formation, portfolio company investments, public and private financings (equity and debt), and general corporate and securities law matters. He has negotiated and managed mergers and acquisitions and corporate finance transactions, including public, corporate carve-out, private equity, and venture capital transactions.  He has also led legal teams representing sovereign and private issuers as well as leading international investment banks, and advised multinational corporations with respect to U.S. securities law matters, including disclosure and stock exchange related issues.

Mr. Marinaro serves as Chief Representative of the firm's Beijing office.

Prior Work Experience

Mr. Marinaro joins the firm from Merrill Lynch where he was First Vice President and Co-Head of the Strategic M&A and Global Private Equity Counsel Group. In that role, Mr. Marinaro acted as general counsel to the Merrill Lynch Global Private Equity business group. He built and led a team of in-house lawyers that coordinated the legal aspects of the structuring, due diligence, acquisition, monitoring and disposition of Merrill Lynch private equity and strategic investments, including transactions in Europe, Canada, China, Latin America, Australia, Japan and India. Prior to his role at Merrill Lynch, Frank was a corporate attorney at Shearman & Sterling.
