Fran Stoller has extensive experience in a wide range of corporate and securities matters, concentrating in the biotechnology, pharmaceutical, software, technology and retail industries. She counsels public and private companies, advising senior management on corporate and financing transactions, securities law compliance, shareholder relations, employment matters and corporate governance. She assists publicly traded companies with all aspects of their '33 Act, '34 Act and stock exchange requirements.

Ms. Stoller has substantial experience representing issuers, placement agents and underwriters in connection with initial and secondary public offerings, private placements of debt and equity securities, PIPES, venture capital investments and equity lines of credit.

  • Representation of a business combination company in the shipping industry in a $200 million initial public offering.
  • Representation of the independent members of the board of directors of a Nasdaq NM provider of analytic software-based solutions for the security industry.
  • Representation of a business combination company in the paper, packaging and forest product industry in a $120 million initial public offering.
