Elizabeth Majers has practiced primarily as special counsel representing institutional lenders in the area of the direct placement of corporate securities. She has represented virtually every major insurance company and pension fund active in the private placement industry, as well as hedge funds, banks, capital companies and other financial institutions in connection with their purchase of privately placed securities.
Ms. Majers has extensive experience representing institutional lenders in troubled and distressed financings, including modifications and restructurings of taxable municipal bond transactions and other government credit supported bond financings, as well as workouts of multiple property credit tenant loans. Her representative workout achievements include successful restructurings of modifications to a New York-based U.S. Government Leasehold Surrender Interest financing, a New York-based Industrial Development Agency bond issue, multiple securitizations of Borders Inc. lease backed securities, Cimpor-Cimentos de Portugal SGPS, S.A., C-BASS LLC (subprime mortgage originator and investor), U-Haul International, Wabash National Corporation, Illinois Vehicle Premium Finance (subprime insurance premium financing securitization), Union Square (D.C.) Credit Tenant Loan, Choctaw Generation Limited Red Hills Generation Facility (lignite fired electric generation facility), Ravenswood (Keyspan/ Transcanada) Facility (combined cycle natural gas fired electric generating facility), and numerous private mezzanine transactions, credit tenant loans and private project financings and energy industry leveraged lease financings.
Her finance experience includes the structuring, documentation and negotiation of a wide variety of privately placed financial transactions such as mezzanine and private equity financings; workouts and restructurings; leveraged leasing of aircraft, railroad rolling stock, electronic data transmission equipment, vehicles, mining equipment and real estate; leveraged buyouts; project and facility financings; real estate financings; credit tenant loan transactions; loan and other asset securitizations and unsecured debt financings for U.S., Canadian and other foreign issuers. Her practice also includes a special emphasis on multiple property credit tenant loan securitizations.
She is a frequent chair and speaker at various industry conferences and seminars on the private placement industry, the amendment and modification process and credit tenant loan financings.
Prior Work Experience
Prior to joining Loeb & Loeb LLP, Elizabeth Majers was a partner and chair of the global corporate finance group of McDermott Will & Emery LLP, as well as serving as the partner-in-charge of client relations for the entire firm.
