Eliot Green represents private and corporate foundations and a wide range of public charities, primarily in the areas of health care, social and human services, education, visual and performing arts, and sports and entertainment. He represents several large, well-known private family foundations focusing on executive compensation and self-dealing issues. He has extensive experience in the structuring and implementation of complex health care and social and human services provider transactions, including mergers and acquisitions, affiliations, virtual mergers, joint ventures and integrations involving both for-profit and not-for-profit organizations. He also advises governing boards of private foundations and public charities on matters such as succession planning, board fiduciary duties and liability, governance and accountability, regulatory compliance, grant-making/monitoring, collaborations between private foundations and charitable solicitation issues.
Mr. Green's clients include large and medium-sized public charities and private foundations sponsored by families and Fortune 500 companies, Federal and state political action committees and trade associations. He frequently represents tax-exempt organizations in structuring multi-dimensional affiliations or networks and often provides assistance in restructuring governing board/member relationships.
