Dario de Martino focuses his practice on domestic and cross-border corporate transactions, principally in connection with public and private mergers and acquisitions, joint ventures, venture capital financings, private placements of equity and debt securities and corporate governance matters. His transactional practice ranges from global corporations to closely held companies, most of which are active in the following industries: high-tech, media, financial services including investment banks, health care, green tech and hospitality.
Prior Work Experience
Prior to joining Loeb & Loeb LLP, Mr. de Martino was an associate at Gersten Savage LLP and Cahill Gordon & Reindel LLP.
Representative Experience
Represented the key management of a technology company specializing in information, security and communication solutions in their management buyout of the majority shareholder.
Represented a leading supplier of precision instrumentation solutions for latency sensitive trading systems in its acquisition of all the assets of a latency management service provider.
Represented a developer of interactive learning technology on its $160 million acquisition of a NY-Based educational software developer
Represented a global gaming company on the $80 million acquisition of a leading US technology-based gaming services company.
Represented an extractor of natural sweeteners on its $50 million joint-venture with a U.S. based refined sugar company.
Represented a European bank in its $4 billion cross-border acquisition of European local banks.
Represented an alternative energy corporation in its private offering of more than $1.1 billion of secured and unsecured long-term debt securities, including senior notes and first mortgage bonds.
Represented a biopharmaceutical company in its $20 million private placement in the U.S. and overseas.
