Our Corporate Group assists clients at all stages of the business cycle, from complex transactional and operational matters to general corporate advisory services, counseling companies on day-to-day business, operational and legal issues. We know what is “market” and we help businesses conceive, structure and execute transactions that meet their strategic objectives. Our clients think of us as trusted business partners, helping them to anticipate crises and opportunities, understand and leverage trends, and avoid or resolve disputes with efficiency and focus on their bottom line. We also work closely with the firm’s Capital Markets and Commercial Finance Groups on public offerings, various private placement transactions, and debt financings.
Additionally, our Corporate Group advises companies, boards of directors, individual directors, board committees and shareholders on corporate governance issues including Sarbanes-Oxley and SEC compliance, and other policy, transaction-specific and investigative matters.
While our diverse client base ranges from small, emerging companies to large, established corporations, our attorneys have developed a particular aptitude for servicing middle market companies. This corporate sector consistently recognizes value in Loeb & Loeb’s breadth and depth of experience, qualities typical of much larger firms and generally offered by them at much higher rates.
Service Approach
Our attorneys continuously work to maintain an intimate understanding of our clients’ unique businesses and industries. We strive to know what’s important to our clients and focus our services accordingly – saving time and money. Unlike today’s multi-layered mega firms, we offer clients direct access to partners and highly sophisticated, streamlined service delivered by talented attorneys and professionals. Our corporate attorneys regularly work across practice lines and industry disciplines, drawing upon the knowledge and experience of colleagues from other departments – including Commercial Finance, Capital Markets, Real Estate, Intellectual Property, Energy, Entertainment, Labor and Employment, and Tax – to meet our clients' various needs for specialized knowledge and capabilities.
Clients and Industries
We serve businesses of all types and sizes across a broad range of industries, and have particular expertise in advertising and promotions, technology, entertainment, media, energy, manufacturing, financial services and life sciences. Our clients include companies based in the U.S. and around the globe. The opening of our China office augments our cross-border transactional abilities, allowing us to provide seamless expertise for U.S. companies expanding into Asian markets or Asia-based companies considering accessing the U.S. capital markets, engaging in acquisitions or entering into other business or financing transactions in the U.S.
Leadership in Law
Loeb & Loeb’s corporate attorneys and many of the transactions that our Corporate Practice has handled, have been cited for dealmaking excellence in leading legal directories and industry publications, including The M&A Advisor, The Deal, International Financial Law Review, Super Lawyers and others. The firm was given a first-tier ranking in the area of Middle-Market Mergers, Acquisitions and Buyouts in the 2012 edition of The Legal 500-United States, which called our attorneys “deal specialists, as able to work on one-off transactions for new clients as negotiate a merger or acquisition for a long-term client.” Additionally, ACQ Finance Magazine, an international publication covering the latest financial transactions and M&A activity, named Loeb & Loeb the 2009 Internet and e-Commerce law firm of the year.
Members of the group are closely involved with industry organizations such as the Association of Corporate Growth, the Turnaround Management Association and the Los Angeles Venture Association, and they regularly speak on cutting-edge topics in this space.
