Christopher Kelly’s practice focuses on advising both private and public companies in the areas of general corporate and securities law. Mr. Kelly’s transactional experience includes mergers and acquisitions (representing both acquirers and targets), venture capital financings, public and private offerings of securities, joint ventures and strategic alliances. He also provides counsel on SEC compliance and reporting, as well as general corporate representation. In his diversified practice, Mr. Kelly has advised clients across a range of industries, including manufacturing, media, fashion, healthcare, authentication and grading services, internet, restaurants, financial services and entertainment. One of the youngest department chairs in the firm's history, Mr. Kelly is also a member of Loeb & Loeb's Practice Group Committee, guiding the firm's business development and growth initiatives.

Representative Experience

  • Represented RALS-MM LLC, formerly known as Marilyn Monroe, LLC, in connection with the sale of substantially all of its assets to a joint venture controlled by Authentic Brands Group (ABG), which assets include, among other things, the name, likeness and image of Marilyn Monroe.
  • Represented environmental media company EcoMedia in connection with the negotiation and drafting of partnership agreements with numerous cities and municipalities within the State of California, pursuant to which the client would partner with the city and/or municipality to develop “green projects” in the municipal district which would be sponsored by large corporations. A percentage of the sponsorship dollars for these projects is paid to the cities and municipalities in exchange for brand recognition and exclusive advertising and sponsorship placements on government properties.
  • Represented Kidney Center, Inc. and its affiliates in connection with the sale of six dialysis centers to a national private equity company as part of a roll-up transaction.
  • Serve as outside general counsel to Turtle Mountain, LLC in connection with matters related to So Delicious™ frozen dessert. Represented the dairy-free food products manufacturer and distributor in the formation of a joint venture with the private equity firm Wasserstein & Co., as well as in connection with distribution arrangements, manufacturing agreements and general corporate matters.
  • Represented Original Productions, a US-based creator of hit television shows such as "Ice Road Truckers" and “Deadliest Catch,” in selling a 75 percent stake in the company to FremantleMedia, one of the world’s leading creators and producers of entertainment brands.
  • Represented Collectors Universe, Inc., a NASDAQ–listed authentication and grading services company, in connection with acquisitions aggregating a value in excess of $24 million. These deals have included a $7 million cash acquisition of American Gemological Laboratories by the company; a $3.15 million acquisition of membership asset of Expos Unlimited LLC; a $7.5 million asset purchase of Gemprint Corporation; and a purchase of membership interests of Gem Certification & Appraisal Lab, LLC, an asset purchase of Gemological Appraisal Association, Inc., and a stock purchase of Diamond Profile Laboratory, Inc. totaling $5.925 million.
  • Represented Ambassadors Group, Inc., a leading educational travel company in their stock acquisition of BookRags, Inc., a company that operates an educational website, for approximately $18 million.
  • Represent American Precious Metals Exchange, Inc. (APMEX), one of the largest precious metals dealers in the U.S., as outside general counsel in connection with a variety of corporate matters.
