Fran Stoller has extensive experience in a wide range of corporate and securities matters, concentrating in the biotechnology, pharmaceutical, software, and technology industries. She counsels both public and private companies, advising senior management and boards of directors on corporate and financing transactions, securities law compliance, shareholder relations, employment matters and corporate governance. She assists publicly traded companies with all aspects of their '33 Act, '34 Act and stock exchange requirements, and has acted as counsel to special committees in connection with mergers and acquisitions and internal investigations. Ms. Stoller has substantial experience representing issuers, placement agents, underwriters and venture capital investors in connection with IPOs and secondary public offerings, private placements of debt and equity securities, PIPES, ATMs and equity lines of credit.
In the life sciences industry, Ms. Stoller regularly assists companies in negotiating sponsored research and clinical trial agreements, research and development collaborations, in-licensing agreements with academic and research institutions and out-licensing transactions relating to product manufacturing, launch and commercialization.
