Allan Duboff maintains a diverse corporate and business practice with an emphasis on mergers and acquisitions, securities and corporate finance, private equity, venture capital, joint ventures, licensing and general business matters. He is a leading authority on limited liability companies. As a member of the California State Bar Drafting Subcommittee, Mr. Duboff was instrumental in the creation of the Limited Liability Company Act.

Mr. Duboff is an advisor to clients ranging from emerging growth companies, closely held companies and equity funds to public companies in a range of transactions. He has significant experience in a number of industries, including manufacturing, high-tech, media and entertainment, food service, consumer products, medical devices and apparel.

As a moderator and speaker, Mr. Duboff regularly contributes on issues relating to mergers and acquisitions, limited liability companies, joint ventures and partnerships at industry conferences and continuing legal education seminars sponsored by the California State Bar Association, the Los Angeles County Bar Association, California Continuing Education of the Bar, B. Riley & Co, Los Angeles Venture Association, The Rutter Group, UCLA Extension, Directors Roundtable, CLE International, National Business Institute and the Beverly Hills Bar Association.

Representative Experience

  • Representation of Function(x) Inc. (FNCX.PK) in its purchase of substantially all of the assets of Trusted Opinion Inc.’s Loyalize's business, which consists of technology that enables brands and content providers to engage with nationwide audiences during live TV shows by providing games, polls, real-time discussions and sharing features for smart phones, tablets, laptops and on connected TVs.
  • Representation of Function(x) Inc. (FNCX.PK) in its purchase of certain assets of Mobile Messaging Solutions, Inc.'s Watchpoints business, which is involved in developing, selling, maintaining and improving an interactive broadcast television application utilizing audio recognition technology.
  • Representation of Highridge Partners, a privately held real estate investment company, in the formation with Citi and Michael Costa, a leader in the Low Income Housing Tax Credit (LIHTC) industry, of Highridge Costa Housing Partners, LLC to own general partnership interests in and manage an existing $3.4 billion LIHTC portfolio of 275 affordable, multifamily housing communities, housing 80,000 residents in 34 states and Puerto Rico.
  • Representation of TouchStone Software Corporation (TSSW.OB), a provider of utility software, in its sale to Phoenix Technologies, Ltd. (PTEC)
  • Representation of investor group in their purchase of Ambassador Marine Group, a global provider of marina design, manufacturing and construction services, from Ambassadors International, Inc. (AMIE)
  • Representation of portfolio company in its purchase of digital signage division from Planar Systems, Inc. (PLNR)
  • Representation of Peerless Systems Corporation (PRLS), a developer of imaging technologies for printers and multifunction office products, in its sale of intellectual property to Kyocera Mita Corporation.
  • Representation of cable television network in debt and equity financings.
