W. Allan Edmiston is a business litigator and trial lawyer with particular experience resolving complex commercial and corporate matters, including UCC disputes, investor actions, shareholder derivative suits, and contests over corporate control, for clients in the financial services, hedge fund, manufacturing, and apparel industries, among others.
In addition to his commercial/corporate litigation practice, Mr. Edmiston litigates entertainment-related disputes involving copyright, right of publicity, idea submission, anti-piracy and contract claims, among others, on behalf of prominent clients in the motion picture, television and music industries.
Mr. Edmiston also defends prominent law and accounting firms, as well as their professionals, against lawsuits alleging malpractice, negligence, breach of fiduciary duty and conflicts of interest.
Finally, Mr. Edmiston's pro bono efforts include work on behalf of the Los Angeles City Attorney's Office, for whom he has tried misdemeanors including battery, trespass, theft and vehicular hit-and-run.
Representative Experience

In legal malpractice arbitration involving alleged damages exceeding $4 million, obtained defense summary judgment on behalf of AmLaw 200 law firm.

Defense of Warnaco, a publicly-traded apparel company, through arbitration hearing, against claims asserted by selling shareholders of Ocean Pacific Apparel Corp. for billions of dollars in "earn-out" compensation under a Stock Purchase Agreement, before case was settled on confidential terms.

In Themis Investors, LLC v. Clark, following arbitration of dispute between LLC co-members, obtained derivative award totaling nearly $1.5 million on behalf of nominal claimant LLC, obtained significant attorneys' fees and costs award on behalf of claimant, and defeated respondent's cross-claims seeking millions of dollars in damages.

In Sakai v. Merrill Lynch Life Insurance Company, Inc., et al., involving "financial elder abuse" and breach of fiduciary duty claims arising from a variable annuity contract, obtained summary adjudication of the core of plaintiff’s case before the matter was settled on confidential terms.

In Havluciyan v. Rapiscan Systems, Inc., involving cross-claims between Rapiscan and its former Turkish distributor, defended Rapiscan against claims for $30 million in damages, obtained a writ of attachment respecting one of Rapiscan’s cross-claims, and obtained entry of an order requiring Havluciyan to post a CCP § 1030 bond, before case was settled on confidential terms.

In Dahlen v. Chicago Title Insurance, Inc., defended Chicago Title against claims for breach of policy and bad faith, before case was settled on confidential terms.

In Whyaduck Productions, Inc. v. Block, following bench trial, obtained judgment, including attorneys’ fees and costs, against Oscar-nominated filmmaker Mitchel Block.

Defense of prominent financial institution in FINRA arbitration involving disputed termination of a Master Repurchase Agreement (essentially, a collateralized loan structured as a sale and repurchase obligation) and the exercise of liquidation rights thereunder.
